Peninsula Lacrosse Association
Incorporated under the Society Act of the Province of British Columbia
January 25, 1996
CONSTITUTION:
Article 1: NAME
The name of the society shall be the Peninsula Lacrosse Association.
Article 2: PURPOSE OF THE SOCIETY
(a) To promote, teach and perpetuate the game of Lacrosse.
(b) To teach sportsmanship and emphasize fair play at all times.
(c) To develop community spirit.
(d) To act as the agent for member teams in business with parent associations, such as Vancouver Island Lacrosse Commission, British Columbia Lacrosse Association and the Canadian Lacrosse Association.
Article 3: AFFILIATION
As a provision of the Constitution of this society, the said society shall be affiliated with the British Columbia Lacrosse Association.

This provision is unalterable.
Article 4: WIND UP CLAUSE
On the winding up or dissolution of this society, funds or assets remaining after all debts have been paid shall be transferred to a charitable institution with purposes similar to those of this society or, if this cannot be done, to another charitable institution recognized by Revenue Canada as qualified under the provisions of the Income Tax Act of Canada.

Article 4 of this constitution is unalterable in accordance with the Society Act.
 
Notes:
  1. We are NOT the Peninsula MINOR Lacrosse Association.

     
  2. In one of the drafts of this Constitution, there was an "AREA OF OPERATION" Artice which read as follow:

    "The operation of the society is to be chiefly carried on within the Municipalities of Central Saanich and North Saanich and the Township of Sidney."

    This article was dropped; but, our "Area of Operation" is not identified in the By-Laws or anywhere else for that matter.

     
  3. Because our "WIND UP CLAUSE" is unalterable, a special resolution was passed at the request of the BC Gaming Commission as follows:

 

 
Resolution

RESOLVED that should the Peninsula Lacrosse Association, which received charitable gaming funds from licensed charitable gaming and/or direct charitable access, at any time dissolve or cease to exist, have any and all gaming monies or assets purchased with gaming funds held at the date of dissolution or cessation of existence these/they shall be distributed by the Peninsula Lacrosse Association to

  • a registered charity or registered charities in British Columbia, as defined in the Income Tax Act (Canada), as may be determined by the members of the Society at the time of winding up or dissolution.
     
    OR

     
  • such charitable organization or organizations in British Columbia having a similar charitable purpose.

 

RESOLVED FURTHER that the foregoing shall not be altered or amended and shall continue to be binding on the Peninsula Lacrosse Association.

RESOLVED FURTHER that the Peninsula Lacrosse Association will provide its undertaking, by delivery of a copy of this resolution to the BC Gaming Commission, that it will abide by the limits on the application of its assets on dissolution as provided herein.
